These Terms of Service ("Terms") govern your use of the PhraseKit website, web application, and desktop application (collectively, the "Service") operated by Perlence LLC ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
By creating an account or using the Service, you confirm that you are at least 13 years old and agree to comply with these Terms. If you do not agree, you must not use the Service.
To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate and complete information and to notify us promptly of any unauthorized use of your account.
PhraseKit offers the following paid plans:
Prices are in US dollars and may be subject to applicable taxes. We reserve the right to change pricing at any time, but changes will not affect your current billing period for active subscriptions.
Payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annually) until you cancel. Lifetime purchases are charged once.
All sales are final. We do not offer refunds for any purchases, including subscriptions and lifetime licenses. You may cancel your subscription at any time, and you will retain access to the Service until the end of your current billing period.
You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period. After that, your access to paid features will be discontinued.

You retain full ownership of any text, documents, or other content you create using the Service ("Your Content"). We do not claim any rights over Your Content. You are solely responsible for Your Content and its use.
The Service, including its design, code, features, and branding, is owned by Perlence LLC and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.
PhraseKit uses artificial intelligence to assist with writing tasks. AI-generated suggestions and outputs are provided "as is" without warranties of accuracy, completeness, or fitness for any particular purpose. You are responsible for reviewing, editing, and verifying any AI-generated content before use. We are not liable for any consequences arising from the use of AI-generated content.
The PhraseKit desktop application allows you to connect to third-party AI providers (such as OpenAI, Anthropic, and others). When you use these providers, your data is transmitted directly to them and is subject to their respective terms of service and privacy policies. We are not responsible for the practices or policies of third-party AI providers.
The PhraseKit desktop application supports running AI models locally on your device. When using local models, your text data remains entirely on your device and is not transmitted to any external server.
If you create or manage a team account, you are responsible for the actions of all team members. Team account owners may add or remove members and manage roles and permissions.
We strive to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time without prior notice.
To the maximum extent permitted by law, Perlence LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
You agree to indemnify and hold harmless Perlence LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Service or violation of these Terms.
We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination will remain in effect.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction.
